Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website located at grid.re and any related subdomains, pages, and content operated by Grid AI Labs, Inc. ("Grid," "we," "us," or "our") (collectively, the "Site").

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Site.

These Terms govern the Site only. Your access to and use of Grid's software products and services is governed by a separate written agreement between you (or your organization) and Grid, such as a Master Services Agreement, Order Form, or subscription agreement (the "Services Agreement"). If any conflict exists between these Terms and a Services Agreement with respect to the products and services, the Services Agreement controls.

1. Who May Use the Site

You may use the Site only if you are at least 18 years old and capable of forming a binding contract. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" refers to both you and that organization.

2. The Site Is Informational

The Site is provided for general informational and marketing purposes. Content on the Site — including descriptions of Grid's platform, features, pricing indications, comparisons, benchmarks, case studies, and other materials — is subject to change without notice and does not constitute an offer, warranty, or binding commitment. Nothing on the Site is intended as legal, financial, tax, accounting, regulatory, or professional advice, and you should not rely on it as such.

3. License to Use the Site

Subject to these Terms, Grid grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own internal, non-commercial evaluation and informational use. All rights not expressly granted are reserved by Grid.

4. Intellectual Property

The Site and all of its contents — including text, graphics, logos, images, the "Grid" name and marks, software, page layouts, and the selection and arrangement thereof — are owned by or licensed to Grid and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted in Section 3, you may not copy, reproduce, distribute, republish, modify, create derivative works from, publicly display, frame, scrape, or otherwise exploit any part of the Site without Grid's prior written consent.

Grid's trademarks, service marks, and trade dress may not be used in connection with any product or service without Grid's prior written permission. Third-party names and marks appearing on the Site are the property of their respective owners and are used for identification purposes only; their appearance does not imply endorsement.

5. Prohibited Conduct

You agree not to, and not to permit any third party to:

• Use the Site for any unlawful purpose or in violation of these Terms;

• Access, scrape, harvest, or collect data from the Site through automated means (including bots, crawlers, or scrapers) except as permitted by our robots.txt or with our prior written consent;

• Reverse engineer, decompile, or attempt to derive the source code of, or the underlying ideas or algorithms of, any part of the Site;

• Introduce any viruses, malware, or other malicious or harmful code;

• Attempt to gain unauthorized access to the Site, our systems, or networks, or to interfere with, disrupt, or place undue load on the Site or its infrastructure;

• Circumvent or attempt to circumvent any security or access controls;

• Use the Site to develop or train a competing product or service, or to benchmark against Grid for a competing offering; or

• Remove, obscure, or alter any proprietary notices on the Site.

6. Submissions and Communications

The Site may allow you to submit information — for example, through contact forms, demo requests, newsletter sign-ups, or email ("Submissions"). You represent that any Submission is accurate and that you have the right to provide it. Grid may use Submissions to respond to you, communicate about our products and services, and improve the Site, subject to our Privacy Policy.

If you send us feedback, suggestions, or ideas about the Site or our products ("Feedback"), you grant Grid a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback for any purpose, without obligation or compensation to you.

By providing your contact information, you consent to receive communications from Grid electronically. You may opt out of marketing communications at any time using the unsubscribe mechanism in those communications or as described in our Privacy Policy.

7. Third-Party Links and Content

The Site may contain links to third-party websites, services, or resources that Grid does not control. Grid provides these links for convenience only and is not responsible for the content, accuracy, or practices of any third party. Accessing third-party sites is at your own risk and subject to those parties' terms and policies.

8. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GRID DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Grid does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GRID OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF GRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, GRID'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Grid and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your access to or use of the Site, your Submissions, or your violation of these Terms or of any applicable law or third-party right.

11. Changes to the Site and These Terms

Grid may modify, suspend, or discontinue any part of the Site at any time without notice. Grid may also revise these Terms from time to time. When we do, we will update the "Effective Date" above. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, CA, and you consent to personal jurisdiction and venue there.

13. General

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grid regarding the Site and supersede any prior agreements on that subject.

• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

• No Waiver. Grid's failure to enforce any provision is not a waiver of its right to do so later.

• Assignment. You may not assign or transfer these Terms without Grid's prior written consent. Grid may assign these Terms freely.

• Headings. Section headings are for convenience only and do not affect interpretation.
